Blueberry Parenting Co. - Blueberry Platform

These Terms of Service ("Terms") govern access to and use of the Blueberry website and related services (the "Platform"). In these Terms, "Blueberry," "we," "us," and "our" refer to Blueberry Parenting Co.

1. Acceptance of Terms

By accessing or using the Platform, the user agrees to these Terms. If the user does not agree, the user must not use the Platform.

If the Platform is used on behalf of an organisation, the person using the Platform represents and warrants that they have authority to bind that organisation to these Terms.

2. Changes to Terms

Blueberry may update these Terms from time to time. If material changes are made, Blueberry will post an updated version with a new "Effective date" and "Version." Continued use of the Platform after the updated version becomes effective constitutes acceptance of the updated Terms.

3. Eligibility

The Platform is intended for parents and caregivers. To create an account or purchase paid features, the user must be at least the age of majority in their place of residence.

4. What Blueberry Is (and Is Not)

4.1 Information and workflow tool only

Blueberry is an information and workflow tool that helps users discover childcare providers and organise their search. Blueberry does not provide childcare services.

4.2 No endorsement; no agency; no guarantees

Blueberry does not endorse, certify, employ, recommend, or guarantee any childcare provider. Blueberry is not a broker or agent for any provider and does not form a contract between a user and any provider. Any decisions and arrangements made with a provider are solely between the user and that provider.

4.3 Third-party content and sources

The Platform may display information from third-party sources ("Third-Party Content"), including government registries, provider websites, mapping services, and other public sources. Third-Party Content may be incomplete, outdated, inaccurate, or removed at any time. Blueberry does not control Third-Party Content and does not guarantee its accuracy or availability.

5. Accounts

To access certain features, an account may be required. The user agrees to:

  • provide accurate and current account information;
  • keep login credentials secure;
  • promptly notify Blueberry of unauthorised access; and
  • accept responsibility for activity under the account.

Blueberry may suspend or terminate accounts as described in Section 15.

6. User Content and Community Contributions

The Platform may allow users to submit, store, or display information such as notes, preferences, saved items, and tracker entries ("User Content"). Users retain ownership of User Content.

6.1 License to operate the Platform

Users grant Blueberry a limited, non-exclusive, worldwide, royalty-free licence to host, store, reproduce, and display User Content solely as necessary to operate the Platform and provide the features used (for example, displaying notes back to the user, syncing saved items, providing customer support, maintaining security, preventing abuse, and complying with law).

6.2 Provider-related information may be used to improve the Platform

Some User Content may relate to childcare providers (for example: provider contact details such as email/phone, hours, application steps, typical waitlist durations, fee ranges, policies, or other provider-specific details entered into a tracker). Provider-related User Content ("Provider Information") may be used to improve the accuracy, completeness, and usefulness of provider listings and the Platform generally.

This may include, for example:

  • updating a provider listing's contact details (such as an email address) when new or corrected information is submitted;
  • improving listing fields and search filters based on provider-related information submitted by users; and
  • generating aggregated or summarised insights (for example, typical waitlist time ranges) derived from multiple users' entries.

Provider Information may be displayed to other users on the Platform (for example, updated contact details or listing fields), including in a form that is aggregated, summarised, or labelled as community-provided, and may be modified, reformatted, or combined with information from other sources to maintain listing quality and consistency.

6.3 No attribution; moderation

Provider Information used to improve listings is not intended to be attributed publicly to the contributing user. Blueberry may review, moderate, reject, remove, or edit Provider Information at any time, including where it appears inaccurate, unlawful, inappropriate, or harmful.

6.4 User responsibilities for Provider Information

When submitting Provider Information, the user represents and warrants that:

  • the user has the right to submit the information;
  • the information is accurate to the best of the user's knowledge; and
  • the information does not include confidential information, trade secrets, or information that the user is not permitted to share.

6.5 Sensitive information notice

Users should avoid entering highly sensitive personal information in notes or tracker fields (for example, health information, custody disputes, or similar sensitive matters).

7. Acceptable Use

The user agrees not to:

  • use the Platform for unlawful, harmful, or fraudulent purposes;
  • interfere with the Platform's security or operation;
  • attempt to access any system or account without authorisation;
  • use the Platform to send spam or unlawful communications;
  • scrape, crawl, or harvest data from the Platform using automated means, except where expressly permitted by Blueberry in writing;
  • upload or transmit content that infringes intellectual property rights or violates the rights of others.

8. Messaging and "Initial Outreach" Drafts

If the Platform provides tools to draft messages (including AI-assisted drafts), such drafts are provided for convenience only. The user is responsible for reviewing, editing, and sending any message. Unless explicitly stated otherwise, Blueberry does not send messages to childcare providers on a user's behalf.

The user is responsible for complying with applicable laws when communicating with providers.

9. AI-Assisted Features

Some features may use automated or AI-generated output. AI output may be inaccurate or inappropriate. The user is responsible for reviewing output and deciding whether to use it. AI features are provided "as is" and are not professional advice.

10. Paid Services, Billing, Promotions

10.1 Billing

Paid subscriptions are billed in advance on a recurring basis (monthly or annual) in Canadian dollars unless otherwise specified. Payments are processed by Stripe or another payment processor selected by Blueberry.

10.2 Cancellation

Subscriptions may be cancelled at any time. Access to paid features continues until the end of the current paid billing period unless otherwise stated at the time of purchase.

10.3 Refunds

Fees are non-refundable except where required by law. Blueberry does not provide prorated refunds for partial billing periods.

10.4 Promotions

Blueberry may offer promotions (for example, a free month for a limited number of users). Promotions may be modified or discontinued at any time, subject to any terms disclosed with the promotion.

10.5 Changes to pricing

Blueberry may change pricing or plan features. For active subscriptions, reasonable notice will be provided before changes take effect for the next renewal.

11. Intellectual Property

The Platform, including its software, design, and branding, is owned by Blueberry or its licensors and is protected by intellectual property laws. A limited, non-exclusive, non-transferable licence is granted to use the Platform for personal, non-commercial use as permitted by these Terms.

12. Disclaimers

To the maximum extent permitted by applicable law:

  • The Platform and all content are provided "as is" and "as available."
  • Blueberry does not warrant that information is accurate, complete, current, or suitable for any purpose.
  • Blueberry does not warrant that the Platform will be uninterrupted, timely, secure, or error-free.

Independent verification

Users should independently verify provider details including licensing status, safety records, availability, fees, policies, and suitability before making childcare decisions.

Availability and alerts are best-effort

Any information or feature relating to availability, vacancies, waitlists, or alerts is best-effort and may be delayed, incomplete, inaccurate, or missed. Blueberry does not guarantee placements or outcomes.

13. Limitation of Liability

To the maximum extent permitted by law:

  • Blueberry is not liable for indirect, incidental, special, consequential, or punitive damages.
  • Blueberry is not liable for childcare outcomes, missed opportunities, or interactions with providers.
  • Blueberry is not liable for third-party services or outages (including payment processors, hosting providers, mapping providers, analytics providers, or content sources).
  • Liability cap: If Blueberry is found liable for any reason, Blueberry's total liability is limited to the amount paid for the Platform in the 12 months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations. In those jurisdictions, limitations apply to the greatest extent permitted.

14. Indemnification

The user agrees to defend, indemnify, and hold harmless Blueberry from claims, losses, liabilities, and expenses (including reasonable legal fees) arising from the user's use of the Platform, User Content, or violation of these Terms.

15. Termination

Blueberry may suspend or terminate access for violation of these Terms, for security reasons, or if the Platform is discontinued. The user may stop using the Platform at any time.

Upon termination, the right to use the Platform ends. Sections intended to survive termination (including disclaimers, limitation of liability, and indemnification) survive.

16. Governing Law and Venue

These Terms are governed by the laws of Saskatchewan and the federal laws of Canada applicable in Saskatchewan. Any dispute will be brought in the courts located in Saskatchewan, and the parties consent to that jurisdiction.

Before starting legal proceedings, the parties agree to first attempt to resolve disputes by contacting Blueberry.
